1. Definitions

  1. Cookbook Education Spaces: requirements for TU Delft learning spaces.
  2. Customer: legal entity obtaining a License of Use.
  3. IP Rights: intellectual property protecting software and services.
  4. License of Use: subscription version of the Software Application.
  5. Order: Customer registration request.
  6. Privacy policy: https://tudesc.com/
  7. Product: generated report from the Software Application.
  8. Services: TUDesc software-related services.
  9. Software Application: Interactive Education Spaces Configurator.
  10. TUDesc: TUDesc B.V., Delft, Netherlands.

2. Applicability

  1. These Terms apply to all Orders, Licenses, Products, and Services.

3. License of Use

  1. The Software is licensed, not sold.
  2. All employees of Customer may use the License.
  3. 14-day free trial is available.
  4. Trial includes access for one education space only.
  5. License is valid for 12 months and renewable yearly.
  6. Renewal notice is sent 2 months before expiration.
  7. Misuse may result in immediate termination.

4. Privacy and Data

  1. Only preference cookies are used.
  2. Customer must provide accurate registration data.
  3. Data is processed according to Privacy Statement.
  4. Education space data is stored per account.
  5. Data may be used for quality improvement.
  6. Data is stored up to 1 year after license ends.

5. License and Payment

  1. Eight license tiers from 20 to unlimited education spaces.
  2. Prices exclude VAT.
  3. Payment due within 14 days.

6. Performance

  1. TUDesc performs services with reasonable care.
  2. Third parties may be used if necessary.

7. Requests and Complaints

  1. Contact info@tudesc.com for support.
  2. Responses within 7 days.
  3. Minor deviations are not valid complaints.

8. Guarantee and Liability

  1. Based on Cookbook Education Spaces v2.0.
  2. Data is provided “as accurate as possible”.
  3. Liability is limited to insurance coverage.

9. Intellectual Property

  1. Customer must respect TUDesc IP rights.

10. Force Majeure

  1. TUDesc is not liable for force majeure events.
  2. Orders may be dissolved without compensation.

11. Applicable Law

  1. Dutch law applies.
  2. Courts of Rotterdam have jurisdiction.

12. Invalid Provisions

  1. Invalid clauses do not affect remaining terms.

13. Changes

  1. Terms may be updated at any time.
